Terms and Conditions

1 Credit Approval:

  1. The extension of credit is subject to credit approval by the Supplier.
  2. The Supplier reserves the right to approve or deny credit to customers at its discretion.

2 Credit Limit:

  1. The Supplier may establish a credit limit for each customer based on their creditworthiness and business history.
  2. Customers are responsible for not exceeding their approved credit limit.

3 Payment Terms:

  1. Payment terms, including the due date for invoices, shall be as specified in the individual credit agreement between the Supplier and the customer.
  2. Payment is due in the currency and bank account number stated on the invoice.

4 Late Payment:

  1. Late payments may result in interest charges and late fees, as specified in the credit agreement.
  2. The Supplier reserves the right to suspend or terminate credit terms for customers with a history of late payments.

5 Credit Review:

  1. The Supplier may periodically review the creditworthiness of its customers.
  2. Changes in a customer’s creditworthiness may result in adjustments to credit terms.

6 Returns and Credits:

  1. Returns are subject to the Supplier’s return policy, which shall be provided to customers upon request.
  2. Credits for returned products will be applied to the customer’s account in accordance with the Supplier’s policy.

7 fault:

  1. In the event of default, the Supplier may take legal action to collect the outstanding amount and may report the default to credit reporting agencies.
  2. Default includes failure to make payments as per the agreed-upon credit terms.

8 Governing Law:

  1. These Credit Terms shall be governed by and construed in accordance with the laws of Poland.

9 Amendments:

  1. Any amendments to the credit terms must be made in writing and agreed upon by both the Supplier and the customer.

General Accepted Terms & Conditions for IT Asset Disposition (ITAD) Business

These terms and conditions (“Agreement”) are entered into by and between DEVICE Europe, hereinafter referred to as the “Service Provider,” and the client or customer, hereinafter referred to as the “Client.”

1 Services Provided:

  1. The Service Provider will provide ITAD services, which may include but are not limited to the disposal, recycling, or resale of IT assets as per the mutually agreed-upon scope of work.

2 Compliance with Laws and Regulations:

  1. The Service Provider shall comply with all applicable federal, state, and local laws and regulations governing the handling, disposal, and recycling of electronic waste and IT assets.
  2. The Client is responsible for ensuring that all assets provided to the Service Provider for disposal or recycling are free from sensitive or confidential data.

3 Data Security:

  1. The Service Provider will take reasonable measures to ensure data security during the ITAD process, but the Client acknowledges that data breaches or losses may occur.
  2. The Client shall be responsible for data wiping or destruction prior to asset transfer.

4 Ownership:

  1. The Client retains ownership of all IT assets until they are transferred to the Service Provider.

5 Payment:

  1. The Client shall pay the Service Provider the agreed-upon fees for the ITAD services provided.
  2. Payment terms shall be agreed upon in writing.

6 Liability:

  1. The Service Provider shall not be liable for any loss or damage to IT assets beyond its control.
  2. The Service Provider shall not be liable for any loss or disclosure of data.
  3. The Client shall indemnify the Service Provider for failure to remove sensitive data.

General Terms and Conditions for IT Hardware Reseller

These terms and conditions (“Agreement”) are entered into by and between DEVICE Europe, hereinafter referred to as the “Reseller,” and the client or customer, hereinafter referred to as the “Client.”

Product Orders

  • The Client may place orders for IT hardware and related products and services
  • All orders are subject to acceptance by the Reseller

Product Availability

  • Availability and lead times may change without notice
  • The Reseller does not guarantee availability of specific products

Pricing & Payment

  • Prices are quoted at the time of order placement
  • Payment terms must be agreed upon in writing
  • Invoices must be paid according to agreed terms

Delivery

  • Standard offer and pricing are ex-works
  • The Client must inspect goods upon delivery

Liability

  • No liability for indirect, incidental or consequential damages
  • Liability is limited to the purchase price of the product

Return Merchandise Authorization (RMA)

  • RMA requests must be submitted within 30 days of product delivery
  • Products must be in original condition with packaging and accessories
  • Prior authorization and an RMA number are required
  • Return shipping costs are borne by the Customer
  • Returned products will be inspected upon receipt
  • The Reseller may repair, replace, or refund at its discretion
  • Restocking fees may apply

Products not eligible under the original purchase conditions may be excluded from the RMA process.

90-Day Warranty Policy for IT Hardware Resale

This Warranty Policy applies to IT hardware products sold by DEVICE Europe. All products are covered by a limited warranty period of 90 days from the original date of purchase, unless agreed otherwise in writing.

Warranty Coverage

  • Covers defects in materials and workmanship
  • Applies only to the original purchaser
  • Warranty is non-transferable

Warranty Exclusions

  • Misuse, abuse, negligence or improper installation
  • Normal wear and cosmetic damage
  • Unauthorized modifications or repairs
  • Compatibility issues with other hardware or software
  • Products not purchased directly from DEVICE Europe

Warranty Remedies

  • Repair or replacement of the defective product
  • Replacement with an equivalent or upgraded product if unavailable
  • Refund limited to the original purchase price

The Customer is responsible for return shipping costs. DEVICE Europe covers shipping costs for repaired or replacement products.

Authenticity and Exhaustion Doctrine

  • All products sold must be genuine and legally sourced
  • DEVICE Europe may request documentation of authenticity
  • Ownership transfer allows resale under the exhaustion doctrine
  • Products may be resold, transferred or disposed of by DEVICE Europe
  • Warranty and support policies apply to the original purchaser

These terms are governed by and construed in accordance with the laws of Poland. By selling products to DEVICE Europe, the Seller acknowledges acceptance of these conditions.

All agreements, warranties, RMA terms, reseller conditions, authenticity doctrines and related policies are governed by and construed in accordance with the laws of Poland. By engaging with DEVICE Europe, the Client acknowledges acceptance of all applicable terms.
